1. Acceptance of Terms

By accessing or using Kaldon (the "Platform"), operated by DataDen Media ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms apply to all visitors, users, and anyone who accesses the Platform. By creating an account or using any part of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Account Registration and Eligibility

To use the Platform, you must create an account. When registering, you agree to provide accurate, current, and complete information and to keep that information updated.

You must be at least 18 years of age to create an account and use the Platform. By registering, you represent that you meet this age requirement.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. If you suspect any unauthorized use of your account, notify us immediately at support@kaldon.io.

We reserve the right to suspend or terminate accounts that contain false information or that violate these Terms.

3. Subscription Plans, Billing, and Cancellation

Kaldon offers multiple subscription tiers, including a free tier and paid plans. Details about current plans, features, and pricing are available on our Pricing page.

Billing. Paid subscriptions are billed on a recurring basis (monthly or annually, depending on the plan you select). By subscribing to a paid plan, you authorize us to charge your chosen payment method at the beginning of each billing cycle. All fees are stated in U.S. dollars unless otherwise indicated.

Price Changes. We may adjust pricing from time to time. If we change the price of your plan, we will notify you at least 30 days before the change takes effect. Continued use of the Platform after a price change constitutes your acceptance of the new pricing.

Cancellation. You may cancel your subscription at any time through your account settings. Upon cancellation, your paid features will remain active through the end of your current billing period. After that, your account will revert to the free tier.

Refunds. Payments are generally non-refundable. If you believe you have been charged in error, contact us at support@kaldon.io and we will review your case.

4. Free Tier and Analysis Credits

Kaldon offers a free tier that includes a limited number of analysis credits. These credits allow you to use specific features of the Platform without a paid subscription.

Free-tier credits are provided on a per-account basis and do not accumulate or roll over. We reserve the right to modify the number of credits available on the free tier, the features accessible with those credits, or the availability of the free tier itself at any time.

Attempting to create multiple accounts to obtain additional free credits is a violation of these Terms and may result in the suspension or termination of all associated accounts.

5. Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You may not:

• Use the Platform to violate any applicable law or regulation.
• Attempt to gain unauthorized access to any part of the Platform, other accounts, or related systems.
• Use automated scripts, bots, or scrapers to access the Platform without our written consent.
• Reverse-engineer, decompile, or disassemble any part of the Platform.
• Resell, sublicense, or redistribute Platform access or outputs to third parties as a competing service.
• Upload or transmit viruses, malware, or any code designed to interfere with the Platform's functionality.
• Use the Platform to generate content that is unlawful, fraudulent, deceptive, defamatory, or harmful.
• Interfere with or disrupt the integrity or performance of the Platform.

We reserve the right to investigate and take appropriate action, including suspension or termination of your account, for any violation of this section.

6. AI-Generated Content and Ownership

Kaldon uses artificial intelligence to generate content, analyses, recommendations, and other outputs based on your inputs and data ("Generated Content").

Your Ownership. You own the Generated Content produced through your use of the Platform. You are free to use, modify, distribute, and commercialize your Generated Content without restriction, subject to applicable law.

No Guarantees. While we strive for accuracy, Generated Content is provided on an "as-is" basis. AI-generated outputs may contain errors, inaccuracies, or biases. You are responsible for reviewing and validating all Generated Content before relying on it for business decisions.

License to Us. By using the Platform, you grant us a limited, non-exclusive license to process your inputs solely for the purpose of providing and improving the Platform's services. We will not use your proprietary business data to train models that benefit other users without your consent.

7. Data Privacy

Your privacy matters to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Platform, you consent to the data practices described in the Privacy Policy. If you do not agree with those practices, you should discontinue use of the Platform.

8. Intellectual Property

The Platform, including its design, code, features, algorithms, branding, logos, documentation, and all related intellectual property, is and remains the exclusive property of DataDen Media. Nothing in these Terms grants you any right, title, or interest in the Platform itself beyond the limited right to use it as described here.

The Kaldon name, logo, and related marks are trademarks of DataDen Media. You may not use these marks without our prior written permission.

Any feedback, suggestions, or ideas you provide about the Platform may be used by us without obligation or compensation to you.

9. Limitation of Liability

To the fullest extent permitted by law, DataDen Media and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Platform. This includes, without limitation, damages for lost profits, lost revenue, lost data, business interruption, or any other intangible losses.

Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Termination

You may terminate your account at any time by contacting us or using the account deletion option in your settings. Upon termination, your right to access the Platform will cease immediately.

We may suspend or terminate your account at our discretion, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or if continued access poses a risk to the Platform or other users.

Upon termination, we may delete your account data after a reasonable retention period. Sections of these Terms that by their nature should survive termination (including, without limitation, ownership provisions, warranty disclaimers, and limitations of liability) will continue to apply.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict-of-law principles.

Any disputes arising from or relating to these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in Los Angeles County, California. You consent to the personal jurisdiction of these courts.
